Terms and Conditions

This document/agreement/understanding is a computer-generated electronic record, issued in compliance with Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Information Technology Act, 2000, including any amendments. As an electronic record, it does not require physical or digital signatures.

These Terms are legally binding and govern your use of the Zyro Platform created, owned, and operated by Zyro Technologies Private Limited, a company incorporated under the laws of India, having its registered office at H-31, 5th Floor, Sector-63, Noida, Uttar Pradesh 201301 (“Zyro” or “Company”). Please read these Terms carefully before using the Platform and/or availing any of the Services (defined below) offered by Zyro through the Platform.

By accessing or using the Platform or Services, you agree to be bound by these Terms and Zyro’s Privacy Policy. If you do not agree to these Terms and the Privacy Policy, you must not use the Platform or Services in any manner whatsoever.

These Terms are in addition to, and not in derogation of, any other terms stipulated by Zyro from time to time. In case of any conflict between these Terms and such other terms, these Terms shall prevail. Throughout these Terms, “we”, “us”, and “our” refer to Zyro, and “you” and “your” refer to you, the User (defined below) of the Platform. Zyro and the User are collectively referred to as the “Parties” and individually as a “Party.”

Notwithstanding anything contained elsewhere, Zyro reserves the right to modify, amend, revise, or update these Terms, the Platform, and/or the Services at any time, without prior notice, to enhance user experience and/or comply with changes in applicable law or otherwise. It is strongly recommended that you review the latest version of the Terms periodically on the Platform. If you do not agree to any modifications, you should discontinue using the Platform and Services. Your continued access or use of the Platform or Services after such changes shall be deemed to constitute your acceptance of the modifications.

Acceptance

By accessing, signing up and/or accepting or using the Platform or the Services in any manner whatsoever, you acknowledge that you have read these Terms and agree to be bound by them. You also acknowledge that you have read our Privacy Policy and agree to be bound by it. By accessing or using the Platform or Services, you represent that you have provided us with valid credentials which may be used to verify your identity. We reserve the right to restrict, suspend, or terminate your access to the Platform or Services, at any time without prior notice, if we believe that you are in breach of these Terms. For the security of your account and to enhance your overall experience on the Platform, we may use certain technologies to monitor your activities on the Platform.

Zyro reserves the right to make your details available to its affiliates and partner institutions and you may be contacted by them for information and sales enquiries through e-mail, telephone and/or SMS. You agree to receive promotional materials and/or special offers from Zyro, its affiliates and partner institutions. These promotional materials and/or special offers will be consent-based and you will have the option to unsubscribe.

Before using the Website, please read the General Terms of Use and Specific Terms of Use (collectively referred to as the “Terms”), along with the Privacy Policy available on the Website. By using Zyro's products, software, services, and the Website, or by accessing any products offered by Zyro’s partner institutions, banks, financial entities, NPCI, technology service providers, or card networks (collectively referred to as "Facility Providers" or "Services"), you acknowledge and agree that your use of the Services signifies your acceptance of these Terms.

Zyro may update or modify the Services and Terms at its sole discretion without prior notice. Your continued use of the Website or Services indicates your agreement to the updated Terms. If you do not agree to these Terms and the Privacy Policy, you must stop using the Website immediately.

All references to “Zyro” in these Terms apply to Zyro affiliates as defined in the Specific Terms of Use. Any disputes arising from the Specific Terms must be directed solely against the relevant Zyro affiliate. Zyro itself is not liable for any claims in such cases.

User Rights and Responsibilities for Website and Services

You may register as a user of the Website only if you are at least 18 years old and legally capable of entering binding contracts according to applicable laws. You are responsible for maintaining the confidentiality of your passwords, login details, and account information. Any use of the Website and/or Services by you, or anyone else using your login credentials (with or without your consent), is solely your responsibility. You are accountable for all activities conducted under your account using your secure credentials, and Zyro will not be liable for any actions or changes made using these credentials on the Website.

You agree to provide true, accurate, current, and complete information about yourself when prompted by the Website. If you provide any information that is false, inaccurate, outdated, or incomplete (or if it becomes false, inaccurate, or incomplete), or if Zyro reasonably suspects that such information is not accurate or complete, Zyro reserves the right to suspend or terminate your account and/or deny you any current or future access to the Website (or any part thereof) and related Services.

By using the Website and submitting your contact details, you agree to receive information regarding, or to avail or purchase, various products and services that Zyro or third parties may offer from time to time, through channels such as phone calls, SMS, email, WhatsApp, or other messaging services and mobile apps, as well as other physical, electronic, or digital means. You consent to Zyro contacting you via phone or electronically to gauge your interest in the products and services selected, and to fulfill your requests or complete your applications. You also expressly authorize Zyro, its partners, service providers, vendors, and third parties to contact you for (i) offering additional products or services from third parties, or (ii) sending marketing campaigns, offers, or other relevant information through the Website or other communication channels, including phone, SMS, email, WhatsApp, or other messaging services.

By using the Website, you expressly agree and authorize Zyro, its affiliates, partners, and third parties to make follow-up calls related to the services offered through the Website, and to propose or inquire about your interest in additional products or services from Zyro or third parties. You consent to receive such communications on your phone or mobile number (if provided) and expressly waive any preferences registered under the DND/NCPR list as per the Telecom Regulatory Authority of India (TRAI) regulations.

You agree and authorize Zyro to share your information with its partner banks, financial institutions, group companies, affiliates, vendors, service providers, and other third parties as needed to provide products and services or offer value-added services in connection with your selected services or in general. You consent to receiving communications via email, telephone, and/or SMS from Zyro or third parties. If you request to stop receiving such communications or marketing materials, your request will apply only going forward and will not affect any data already shared by Zyro with your prior consent as outlined in this clause.

Eligibility

The Zyro Platform may only be accessed or used by individuals who are legally competent to enter binding contracts under the Indian Contract Act, 1872 (Section 11). Users are allowed to access and use the Zyro Platform solely for legitimate business purposes.

User Account

A user can create free accounts on the platform. The fees policy can be changed in future by Zyro. Such a change shall be posted on the Platform and shall immediately become effective. Unless otherwise stated, all fees shall be quoted in Indian Rupees. Using and accessing the platform is free of cost. But Zyro reserves the right to charge costs from the user at any time in the future.

Communications

To use the platform, the user needs to provide a valid email address and/or phone number. Any message sent by WhatsApp, email address, phone number, SMS or any other medium to the platform by the user amounts to a valid consent from the user. Zyro can use such provided information for sending SMS, notifications, or any other information to the User which may be related to our service updates or otherwise. The user signing in on the platform is considered implied consent in favour of the owner for use of data/information for communication purposes or otherwise. There is no infringement of any legal or statutory right of the User in using such information/data by the Owner because the user consented for the same; hence, for using such data/information no claim will be maintainable against the owner.

Severability

Each of the provisions in these Terms are severable and distinct from the others and if at any time one or more such provisions become invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions of these Terms shall not in any way be affected or impaired thereby.

Ownership of Intellectual Property

Intellectual property rights shall be protected. We look forward to protecting these rights; hence, all content on the platform such as text, graphics, logos, button icons, images, audio, data compilations, brand name, software, Soft POS device, technology, documentation, manuals, etc., is the property of Zyro and any portion of the platform cannot be produced/reproduced or used anywhere else without the prior consent of the owner. This may also relate to trademarks, copyright, and patents. The trademarks, logos, and service marks displayed on the website/link/application/platform are the properties of Zyro or its affiliates, associates, content suppliers, users, or respective third parties.

Users are not permitted to use the Marks without the prior consent of Zyro or the actual owner and assent to terms and conditions levied by Zyro or the actual owner of the intellectual property.

Zyro is the owner of all copyright content, patents, utility models, designs, know-how, software, applications, trade secrets and inventions, goodwill, source code, meta tags, databases, text, content, graphics, icons, and hyperlinks etc. The user shall not use, copy, reproduce, modify, alter, change, amend, transmit, broadcast, edit, revise, review, adapt, translate, distribute, perform, display, sell, or otherwise use such materials.

If a user publishes or uses any image, graphics, mark, logo, design, or other intellectual property which they do not own, without prior permission of the actual owner, the user shall be solely responsible for any loss or damage caused to the real owner of such property. The owner of the platform cannot be held liable for the same. Zyro does not support any act which infringes the legal rights of others.

Our Partners

You agree and authorize Zyro to share your information with its partner banks, financial institutions, group companies, affiliates, vendors, service providers, and other third parties ("Partners"), as necessary for providing various products and services to you. You also consent to receive communications via email, phone, and/or SMS from Zyro or its Partners. If you choose to opt out of such communications, it will only apply moving forward and will not affect any data already shared by Zyro based on your prior consent under this clause.

Third-Party Links and Offers

This website may contain links to other websites or resources. As Zyro has no control over these third-party sites, you agree that Zyro is not responsible for their availability, does not endorse them, and holds no responsibility for any content, advertising, products, or other materials they provide. Additionally, you acknowledge that Zyro is not liable, directly or indirectly, for any damage or loss arising from your use of or reliance on any content, goods, or services available through these third-party sites or resources. Interactions with any third party accessed through this website are entirely at your own risk, and Zyro assumes no liability for the actions, errors, representations, warranties, breaches, or negligence of any third parties, nor for any personal injury, death, property damage, or other damages resulting from these interactions.

Disclaimer

You the User agree that you are using the platform at your own risk. The contents made available by the User and uploaded or provided or shared on the platform as it is and as available and no changes/modification has been done to such content and information hence, without any warranty of any kind whether express, implied, statutory or otherwise, including the implied warranties of title, non-infringement, suitability, accuracy, reliability, completeness, timeliness, performance, safety, merchantability or fitness for a particular purpose or the legality of the products listed or displayed or transacted to the extent permitted by applicable Indian law and Zyro does not accept any liability for any errors or omissions.

Limitation of Liability

Notwithstanding anything stated under this Agreement including the obligation to indemnify the Merchant, the aggregate liability of Zyro to the Merchant or User from any cause whatsoever shall not, in any event, exceed the sum equivalent to the preceding one (1) month’s aggregate Consideration earned by Zyro under this agreement from the date of occurrence of such liability.

Provided that Zyro shall not be liable to the Merchant or User for any special, incidental, indirect or consequential or direct damages, damages from loss of profits or business opportunities even if the Merchant or User shall have been advised in advance of the possibility of such loss, cost or damages.

In no event shall the Escrow/Nodal Bank or the Acquiring Bank be liable to the Merchant in relation to these Terms & Conditions or in relation to any claim by a third party.

In no event shall Zyro be liable to the Customers or any third party.

Zyro shall not be liable for any of the following: (a) about which it did not have any knowledge; (b) for any Net Quantifiable Financial Benefit that arises to the Merchant for any loss suffered. The term Net Quantifiable Financial Benefit shall include an amount for which Merchant would otherwise have been accountable to be assessed for taxation is reduced or extinguished because of the matter giving rise to such loss. (c) contingent liability of the Merchant ; (d) Merchant shall not be entitled to recover for the same event twice. (f) the amount that is recoverable by the Merchant from an insurance policy or from third parties. (g) the amount for which provision, allowance, or reserve has been made.

The Parties shall have the right to mitigate the losses or damages or claims of indemnities either from the Party to the Agreement or from third parties. Parties shall be within their rights to terminate the Agreement without any notice by written communication to mitigate their losses or damages.

The owner or Zyro, its executives, partners, employees and associates shall not be liable for any loss or damage whatsoever including without limitation direct, indirect, punitive, incidental and consequential damages, loss, profits, or damages resulting from the use or inability to use the website/link/platform.

Waiver

Any failure or delay by Zyro in enforcing or exercising any provision or right under these Terms shall not be construed as a waiver of that provision or right. The exercise of one or more rights by Zyro does not prevent the exercise of any other rights or remedies available to Zyro, whether under these Terms, by law, or in equity. Any waiver of any provision will only be valid if it is made in writing and signed by an authorized officer of Zyro.

Indemnity

The user agrees to indemnify each other and put Zyro and its executive, partners, shareholders, employees out of its purview. The clause of indemnity is valid even after the termination of the agreement.

Zyro has no liability in the event of any action, losses, damages, proceedings, claims, and costs (including attorney fees) and other expenses suffered or incurred due to or attributable to or arising out of:

1. violation of any Applicable Law;

2. breach of any representations or covenants of the User;

3. breach of the policies, guidelines and conditions of Zyro or Additional Terms or these Terms or Privacy Policy (including any modifications or additional notifications or instructions);

4. Infringement of any third-party rights.

Prohibited Products and Services

1. Adult Content and Services: Includes pornography, sexually explicit materials (e.g., literature, images, and other media), escort services, or memberships to adult websites or illegal content sites.

2. Alcohol: Encompasses alcoholic beverages like beer, wine, liquor, and champagne.

3. Human Body Parts: Refers to organs or any other body parts.

4. Bulk Marketing Tools: Includes software, email lists, or other products designed to send unsolicited emails (spam).

5. Cable Descramblers and Black Boxes: Devices designed to unlawfully access cable and satellite television signals.

6. Child Exploitation Material: Any form of pornography or other media involving minors.

7. Copyright Bypass Devices: Tools like mod chips or devices that override copyright protection systems.

8. Unlawful Media Copies: Unauthorized reproductions of copyrighted books, music, movies, and other protected content.

9. Unlicensed Software: Includes pirated versions of software, video games, and other copyrighted programs, including OEM or bundled software.

10. Counterfeit and Unauthorized Goods: Fake or imitation items, including designer goods, celebrity-endorsed products, counterfeit autographs, stamps, and other unauthorized merchandise.

11. Illegal Drugs and Paraphernalia: Includes controlled substances and accessories related to drug use, such as herbal drugs like salvia or magic mushrooms.

12. Drug Test Evasion Products: Products like cleansing shakes and additives designed to help individuals cheat on drug tests.

13. Endangered Species: Includes animals, plants, or organisms at risk of extinction and products derived from them.

14. Gaming and Gambling: Involves lottery tickets, sports bets, memberships in gambling sites, and related content.

15. Fake Government IDs or Documents: Counterfeit documents such as identification cards, passports, degrees, and fake titles.

16. Hacking Tools: Equipment or materials used to illegally access software, servers, websites, or other protected property.

17. Illegal Goods and Services: Materials, products, or services that promote illegal activities.

18. Miracle Cures: Unsubstantiated health products or remedies marketed as quick solutions without proof of effectiveness.

19. Offensive Goods: Includes materials or products that: (a) Defame individuals or groups based on race, ethnicity, gender, etc.; (b) Encourage violence; or (c) Promote hate or intolerance.

20. Crime-Related Items: Goods associated with crime, such as personal belongings or photographs from crime scenes.

21. Explosives and Dangerous Materials: Any items that are explosive, toxic, flammable, radioactive, or otherwise hazardous.

22. Controlled Goods: Items such as car airbags, mercury batteries, refrigerants, industrial chemicals, government uniforms, car titles, license plates, police badges, lock-picking tools, pesticides, postage meters, recalled products, slot machines, surveillance equipment, and other items regulated by government agencies.

23. Financial Securities: Government bonds and similar financial products.

24. Tobacco Products: Includes cigarettes, cigars, chewing tobacco, and related items.

25. Traffic Control Devices: Products like radar detectors, license plate covers, and devices that change traffic signals.

26. Weapons and Ammunition: Firearms, ammunition, knives, brass knuckles, gun parts, and other weapon-related items.

27. Currency Trading: Discounted or exchanged currency services.

28. Animal Products: Includes live animals and animal parts such as hides, teeth, nails, etc.

29. Multi-Level Marketing Fees: Fees related to MLM programs.

30. Matrix Scheme Sites: Websites using a "matrix" scheme model.

31. Misleading Work-from-Home Offers: Work-from-home offers that may be deceptive.

31. Drop-Shipped Products: Items sold through drop-shipping.

32. Non-Compliant Products or Services: Any products or services not following local, state, federal, or international laws, including those in India.

33. Questionable Services: Services that may harm the image of the Payment Gateway, such as adult content, escort services, and certain social platforms that may lead to fraud or chargebacks.

34. Businesses with Unclear Legal Status: Services in areas with ambiguous laws, like internet-based calling, online medicine sales, and matchmaking services.

35. Banned Businesses: Gambling, lotteries, or any activities restricted by law.

36. Intangible or High-Risk Products: Includes software downloads, health or beauty products, pyramid schemes, or get-rich-quick schemes that may harm the bank’s reputation.

37. Mailing Lists: Selling or using mailing lists.

38. Virtual Currency and Crypto: Cryptocurrency, NFTs, and similar digital assets that can be monetized or resold.

39. Money Laundering Services: Any services supporting money laundering activities.

40. Telemarketing Databases: Services providing databases for telemarketing purposes.

41. Auction or Bidding Services: Auction houses and bidding platforms.

42. Prohibited Telecom Activities: Activities restricted by the Telecom Regulatory Authority of India.

43. Other Legally Prohibited Activities: Any other activities that violate the law.

44. Unlicensed Money Services: Unregulated money transfer services that require licenses but lack them.

Violation Of These Terms Of Use

Zyro may disclose any information we hold about you (including your identity) in connection with any investigation or complaint regarding your use of the platform, to identify, contact, or take legal action against someone causing harm or interference (either intentionally or unintentionally), if we determine that such disclosure is necessary.

By using the platform, you accept and agree that Zyro may retain any communications or transmissions between you and Zyro through the platform and may disclose such data if required by law, or if Zyro determines that preservation or disclosure is reasonably necessary to: (1) comply with legal processes, (2) enforce these Terms of Use, (3) respond to claims that such data infringes the rights of others, or (4) protect the rights, property, or personal safety of Zyro, its employees, platform users, or the public.

You agree that Zyro may, at its sole discretion and without prior notice, terminate your access to the platform and/or block future access to Zyro if it believes you have violated these Terms of Use, or any other agreements or guidelines related to your use of the platform. You also agree that any violation of these Terms will constitute an unlawful and unfair business practice, causing irreparable harm to Zyro, for which monetary damages would be insufficient, and you consent to Zyro seeking any injunctive or equitable relief deemed necessary or appropriate.

Additionally, you agree that Zyro may, at its sole discretion and without prior notice, terminate your access to the platform for any cause, including but not limited to: (1) requests from law enforcement or government agencies, (2) your self-initiated request for account deletion, (3) the discontinuation or significant modification of the platform or any service offered through it, or (4) unforeseen technical issues or problems.

Termination

Zyro reserves the right to terminate or suspend the services provided to any user, without prior notice, in the event of any default, including but not limited to breaches of applicable laws, policies, guidelines, or these Terms and Conditions.

Accounts may also be closed if the user is deemed no longer beneficial to the business. Services may be suspended immediately, and payments withheld, without any liability, in cases including but not limited to:

a. Breach of any clause of these Terms and Conditions.

b. Facilitation of unlawful transactions or violation of the Prohibited Products and Services policy.

c. Instructions from facility providers, regulatory bodies, or law enforcement agencies to suspend services, regardless of an ongoing investigation.

d. High-risk transactions as identified by Zyro’s internal fraud detection tools.

e. Suspicious activities linked to your account.

f. Excessive disputes, refunds, or chargebacks.

g. Infringement or suspected infringement of intellectual property rights, including the sale of counterfeit goods.

h. Material changes in products or services without prior written consent, or provision of false or misleading information during onboarding.

i. Activities that expose Zyro to unacceptable legal, financial, or reputational risks.

j. Regulatory changes requiring suspension or modification of services.

Upon termination, Zyro may retain and use any data, information, or content stored on its servers as permitted by applicable law.

If Zyro pursues legal action due to your violation of these Terms, you agree to indemnify Zyro for any related losses, damages, and reasonable costs, including legal fees, in addition to any other relief granted.

Zyro shall not be liable to you or any third party for any damages arising from the termination of your access resulting from violations of these Terms of Use.

Furthermore, Zyro reserves the right to terminate or suspend these Terms or your access to the platform and services without prior notice and without liability.

If you wish to terminate your use of Zyro’s services, you may do so by providing written notice via email to support@myzyro.com at least thirty (30) days prior to discontinuation.

Any suspension or termination of your access shall be without prejudice to Zyro’s right to pursue any other remedies available under applicable law.

Procedure For Change Of Bank Account And Documents Required

Why Change a Bank Account?

Many banks in India have migrated to the Core Banking System (CBS), resulting in revised account numbers (15 or 16 digits) replacing older formats. Along with this, a new IFSC (Indian Financial System Code) may be allotted to uniquely identify the branch. These details are printed on cheque leaves.

Updating your bank account details with the correct CBS account number and IFSC ensures faster processing of payments such as redemptions, refunds, or dividend credits via NEFT/RTGS.

Other situations may also require a change in bank account details, for example, relocation to a new city or switching banks. In such cases, it is important to inform us promptly by submitting the prescribed Bank Mandate Form along with the required supporting documents.

Steps to Change Bank Account Details

I. Obtain the Bank Mandate Form from our official communication channel or website.

II. Fill in the New Account Details, including:

a. New CBS account number (15/16 digits)

b. IFSC code

c. Bank name and branch address

III. Attach Supporting Documents (self-attested):

a. Cancelled cheque leaf with printed name, CBS account number, and IFSC code

b. Valid government-issued photo ID (PAN, Aadhaar, Passport, etc.)

c. Any additional documents if requested by our compliance team

IV. Submit the Completed Form and Documents via email, courier, or in person at our designated office.

V. Confirmation: Once verified, your new account details will replace the existing ones in our records, and all future payments will be routed accordingly.

Default Bank Account In Case Of Multiple Bank Accounts

While registering multiple bank accounts, the merchant must specify one of the bank accounts as the ‘primary’ or “default” bank account into which the redemption / refund payments would be credited. While making a redemption request, a merchant may specify any of the bank accounts for receiving the credit of redemption proceeds. If no account is specified in the redemption request, the redemption proceeds shall be credited/remitted to the default bank account.

List Of Requisite Documents

Along with the prescribed bank mandate form, Merchant need to submit the original or a self-attested photocopy along with the original (for verification & return across the counter) or a copy duly attested by the Bank, of any one of the following documents:

a. Cancelled original cheque of the new bank mandate carrying the first unit holder’s name and bank account number printed on the face of the cheque; OR

b. Self-attested copy of latest bank statement or bank passbook with current entries not older than 3 months; OR

c. Bank’s Letter certifying the bank account details, duly signed by branch manager/authorized personnel of the bank.

Additionally, The Merchant may be required to submit a cancelled original cheque leaf of the old (currently registered) bank account (with first unit holder name and bank account number printed on the face of the cheque) or a copy of the bank passbook/statement containing the account number and the name and address of the account holder duly certified by the branch manager/authorized personnel of the bank with his/her full signature, name, employee code, bank seal and contact number.

In case the bank account is already closed, a duly signed and stamped original letter from the bank concerned on the official letter head, confirming the closure of the said account may be submitted in lieu of the cancelled cheque.

The rationale for asking for supporting documents in respect of the old bank account is to ascertain the authenticity of the request, with a view to safeguard the interest of the original/bona-fide unitholder and prevent any unauthorized/fraudulent transactions.

Cooling Period

Whenever any change of bank mandate request is received simultaneously with, or just prior to submission of, a redemption request, Zyro / Bank allow a cooling period of 3 to 5 days as a matter of precaution against unauthorized/fraudulent transactions.

Data Protection

A. User shall ensure such administrative, technical, physical safeguards and processes, procedures, and checks as required to secure the information which is received from any customer in relation to a card as may be required under applicable law and which safeguards shall be equal to or better than:

i. safeguards currently it has in place for its own data

ii. generally accepted security standards in the financial services industry

B. The administrative, technical, and physical safeguards, process, procedure and checks as provided for in clause (Data Protection) shall be designed to:

a. protect the security and confidentiality of the information of the customer in the possession of the Merchant

b. ensure protection against any anticipated threats or hazards to the security or confidentiality of the Customer information;

c. protection against unauthorized access to or use of the information of the customer or associated records which could result in substantial harm or inconvenience to Zyro; and

d. ensure the proper and secure disposal of such data;

C. Without limiting the generality of the foregoing, the Merchant shall initiate all measures that a prudent organization, in a similar situation would take to secure and defend its systems that contain the information of the customer, against the ‘hackers’ and who seek without authorization, to modify or access its system or the information of the customer.

D. The Merchant shall periodically test its system for potential areas where it could be breached.

E. The Merchant covenants that it shall take best efforts against:

i. any unauthorized or unlawful processing or the alteration of the information of the customer in the system of the Merchant.

ii. any resultant loss or destruction of, or damage to, the customer information due to unauthorized processing or alteration; and

iii. unauthorized and accidental access, processing, erasure, transfer, use, modification, or other misuses of information of the customer, and shall ensure that only authorized personnel bound by adequate confidentiality obligation shall have access to the information of the customer on strictly ‘need to know basis’;

F. The Merchant shall ensure that the information of the customer is not mixed or mingled with information of other customers.

G. The Merchant shall be vigilant to report any breach of this clause (Data Protection), all violations of information security, any breaches in the security practice, control process checks of the Merchant, and all suspected security events within 12 (Twelve) hours of such event or breach to Zyro and shall also immediately intimate all the concerned representatives and employees of Zyro which interact with the Merchant on regular basis.

All users of the platform must agree to and comply with additional terms, rules, policies, procedures, guidelines, disclaimers, notices, or similar provisions (“Additional Terms”).

Use of Content

By posting or providing any material or information on the Platform, the User grants the Company/Zyro, its affiliates, and associates a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable right to display, reproduce, distribute, and otherwise make such content available in any format or medium. The User also grants the right to use their name in connection with the content.

These rights are irrevocable for the full term of protection afforded by the applicable intellectual property laws. The User waives any moral rights, including the right to be identified as the author and the right to object to derogatory treatment of such content. The User further agrees to take all actions and execute all documents necessary to give full effect to the rights granted under this clause.

Representations and Warranties of the User

The Platform is provided solely as a facilitator for banking-related services, including corporate cards and payment gateways. Use of the Platform may require devices, internet connectivity, telecommunications, software, or related infrastructure. The provider shall not be responsible or liable for technical issues, interruptions, security breaches, hacking incidents, or other disruptions occurring during use.

No liability is assumed for damage, viruses, malware, or other harmful code that may affect computer systems, servers, terminals, mobile devices, or other equipment in connection with the Platform. Compatibility with all hardware, software, or system configurations is not guaranteed. Each provision of these Terms is independent and severable. If any provision is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Notices

All notices, directions, or instructions under these Terms must be in writing and delivered by hand, registered post, or facsimile:

Notices sent by registered post shall be deemed delivered seven (7) days after dispatch. Notices delivered by hand or facsimile shall be deemed received upon actual delivery.

Assignment

The Merchant shall not assign, in whole or in part, any rights, obligations, or benefits under these Terms without prior written consent. The Company may assign or transfer its rights, titles, and benefits under these Terms, in whole or in part, to any of its affiliates without prior consent from the Merchant. These Terms shall bind and benefit the parties, their successors, and permitted assigns.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts of competent jurisdiction in New Delhi, India shall have exclusive jurisdiction over any disputes arising under or in connection with these Terms.

Force Majeure

Zyro shall not be liable for any failure to fulfil its obligations under these Terms if such failure results from causes beyond its reasonable control. In the event of a force majeure occurrence, Zyro shall notify the User in writing, and its performance obligations will be extended by a period equal to the delay caused by such an event. If the delay exceeds ninety (90) days, either Party may terminate the unperformed portions of these Terms by giving the other Party ten (10) days’ prior written notice.

For the purposes of these Terms, force majeure events include, but are not limited to: acts of God, failures or disruptions of systems, government orders or restrictions, war, hostilities, sanctions, mobilizations, blockades, embargoes, detentions, revolutions, riots, looting, strikes, labour stoppages, lockouts or other industrial disputes, earthquakes, fires, accidents, epidemics, and pandemics.
